Terms & Conditions

1. Company Details and Application

These Terms and Conditions (“Terms”) apply to all services provided by Willoughby Compliance Limited, trading as Bookapat.com (“we”, “us”, “our”), Company Number 15408053, registered office: 27 Castle Street, Canterbury, CT1 2PX.

These Terms apply to all quotations, bookings, services, and contracts unless expressly varied in writing.

By booking, accepting a quote, allowing attendance, or using our website, you confirm acceptance of these Terms.

2. Services

We provide Electrical Equipment Testing services, commonly referred to by its former name “PAT testing” (Portable Appliance Testing), along with related compliance services.

Services are limited strictly to equipment that is:

  • Present on site at the time of attendance
  • Accessible and safe to reach
  • Made available by the customer

No obligation exists to locate, move, dismantle, isolate, power down, or make accessible any equipment unless expressly agreed in writing.

We may refuse to test any equipment that we consider unsafe, inaccessible, inappropriate, or outside our competence.

3. Bookings and Formation of Contract

No contract exists until we issue booking confirmation.

We may decline, cancel, or reschedule bookings at our discretion where necessary due to operational, safety, staffing, weather, or technical reasons. This does not create liability.

Times are estimates only and not guaranteed.

4. Quotes, Estimates and Pricing

All quotes are based solely on information supplied by the customer and are indicative only unless expressly stated as fixed in writing.

Final charges are based on:

  • Actual number of items tested
  • Actual types of equipment tested
  • Time, complexity, and conditions on site

Quotes do not represent a cap, limit, or maximum price unless explicitly stated in writing.

If the number or type of items differs from what was stated, charges will be adjusted accordingly without further approval.

5. Scope of Testing

Unless expressly restricted by the customer in writing or in person on site, our engineers may test any relevant equipment that is visible, accessible, and safe.

If the customer restricts testing, excludes areas, or withholds equipment, the customer accepts full responsibility for:

  • Partial or non-compliance
  • Enforcement action
  • Insurance implications
  • Fines, claims, or losses

We accept no liability whatsoever for consequences arising from excluded or unavailable equipment.

Approval given verbally or in writing on site to continue beyond the estimated scope is binding and authorises billing accordingly.

6. Customer Responsibilities

6.1. Equipment Availability

The customer must ensure all equipment requiring testing is:

  • Identified
  • Accessible
  • Not in use
  • Safe to approach

We are not responsible for locating equipment.

Any equipment that is:

  • Locked away
  • In use
  • Obstructed
  • At height
  • In unsafe conditions

will be treated as excluded from the service.

Missed items caused by access or availability issues do not constitute a failure of service.

6.2. Site Conditions

The customer must provide:

  • Safe working conditions
  • Clear access
  • A responsible person where required

We may suspend or terminate work where safety is compromised, with full charges still payable.

7. IT and Sensitive Equipment

The customer is responsible for:

  • Powering down equipment
  • Backing up data
  • Managing shutdown and reboot

We do not handle shutdown or restart of IT or sensitive systems.

We are not liable for data loss, corruption, or system failure under any circumstances.

8. Awkward, Heavy and Inaccessible Items

We do not move furniture, machinery, or heavy items.

Items that are:

  • Too heavy
  • Too high
  • Inaccessible

will only receive a visual inspection or be excluded.

We do not provide ladders and are not insured to use customer-provided ladders unless expressly agreed in writing.

9. Non-Productive Time

We reserve the right to charge for non-productive time where work is delayed or prevented due to:

  • Inaccessible rooms
  • Equipment not ready, in use, powered, or safe to test
  • Lack of site cooperation or responsible person
  • Unsafe working conditions
  • Waiting for site inductions, safety briefings, permits, passes, or authorisations
  • Security procedures, sign-in processes, escorts, or access delays
  • Waiting for rooms, cupboards, or equipment to be made available

Non-productive time may be charged at our prevailing hourly rate per engineer.

Time spent on mandatory site inductions, security checks, access procedures, or waiting for access forms part of the chargeable attendance time unless expressly agreed otherwise in writing before the booking is confirmed.

10. Cancellations

All cancellations or rearrangements must be received at least 48 working hours before the scheduled start time of the appointment.

“Working hours” means Monday to Friday, 09:00–17:00, excluding bank holidays and any company closure periods.

Where less than 48 working hours’ notice is given, we reserve the right to charge a cancellation fee to cover lost time, labour, and travel.

If an appointment is cancelled on the day, or if access is refused, unavailable, or delayed to the extent that work cannot reasonably proceed, the visit may be charged in full.

Where longer notice periods apply, this will be clearly stated in the quotation or booking confirmation.

Any waiver or reduction of cancellation charges is entirely at our discretion and does not set a precedent for future bookings.

11. Payment Terms

Payment is due immediately on completion unless expressly agreed in writing.

There is no automatic right to credit.

We may:

  • Refuse future work
  • Suspend services
  • Cancel bookings

for unpaid balances.

12. Late Payment and Debt Recovery

Late payment will incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.

We may charge:

  • Statutory interest
  • Fixed compensation
  • All reasonable recovery, legal, and collection costs

We may instruct debt collection agencies or solicitors without notice.

13. Reports and Certificates

Reports and certificates are issued only once payment is received in full unless agreed otherwise in writing.

Electronic delivery is standard.

14. Limitation of Liability

To the maximum extent permitted by law:

We are not liable for:

  • Indirect or consequential losses
  • Business interruption
  • Loss of profits
  • Loss of data
  • Enforcement action
  • Fines or penalties
  • Insurance issues

Our total liability is limited to the value of the service provided for the specific visit giving rise to the claim.

Nothing excludes liability for death or personal injury caused by our negligence.

15. Force Majeure

We are not liable for failure or delay caused by events beyond our reasonable control.

16. Intellectual Property

All reports, systems, content, and branding remain our intellectual property unless agreed otherwise.

17. Governing Law

These Terms are governed by the laws of England and Wales.

The courts of England and Wales have exclusive jurisdiction.

18. Entire Agreement

These Terms form the entire agreement and override all prior discussions or representations unless confirmed in writing.

19. Changes

We may update these Terms at any time.

The version in force at the time of booking applies.
